1. Acceptance of Terms

By accessing or using Profectra's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Description of Services

Profectra provides bespoke agentic automation solutions, including multi-agent workflow design, implementation, and integration services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

3. Use License

Permission is granted to temporarily access the materials on Profectra's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Attempt to decompile or reverse engineer any software on our website
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or "mirror" the materials on any other server

4. Client Responsibilities

When engaging our services, clients agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of any account credentials
  • Notify us immediately of any unauthorized use of your account
  • Comply with all applicable laws and regulations
  • Provide timely feedback and approvals as required for project completion

5. Intellectual Property

Unless otherwise stated in a separate written agreement:

  • All content on this website is the property of Profectra and is protected by copyright laws
  • Custom solutions developed for clients become the property of the client upon full payment
  • Profectra retains the right to use general methodologies, techniques, and know-how in future work
  • Clients grant Profectra the right to use project details as case studies unless confidentiality is agreed upon

6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • Invoices are due within 30 days of issuance unless otherwise specified
  • Late payments may incur interest charges
  • Services may be suspended for non-payment
  • Refund policies will be outlined in individual agreements

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation survives the termination of any service agreement.

8. Limitation of Liability

To the fullest extent permitted by law, Profectra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.

9. Warranties and Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

  • Our services will meet your specific requirements
  • Our services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using our services will be accurate or reliable
  • Any errors in our services will be corrected

10. Indemnification

You agree to indemnify and hold Profectra harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of New Jersey.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
